Effective date: September 29, 2026
Welcome to Venue Nest. This Subscription Agreement and Terms of Service ("Terms") is a legally binding agreement between Venue Nest, LLC, a Utah limited liability company ("Venue Nest," "Company," "we," "our," or "us"), and the individual or entity that registers for, subscribes to, or uses the Services ("Subscriber," "you," or "your"). These Terms govern your access to and use of the Venue Nest website, software platform, mobile applications, educational content, community features, forms, templates, and related services (collectively, the "Services").
By clicking "I Agree" (or a similar button or checkbox), creating an account, accessing, or using the Services, you agree to be legally bound by these Terms, including the Privacy Policy and any Order (as defined below), each of which is incorporated by reference. If you do not agree, you may not access or use the Services. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "Subscriber" refer to that entity.
PLEASE READ THESE TERMS CAREFULLY. SECTIONS 6 (TEMPLATES), 17 (DISCLAIMER OF WARRANTIES), 18 (LIMITATION OF LIABILITY), AND 19 (INDEMNIFICATION) LIMIT VENUE NEST'S LIABILITY AND ALLOCATE RISK TO YOU. SECTION 24 CONTAINS A BINDING ARBITRATION AGREEMENT AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS.
The following terms have the meanings below. Other capitalized terms are defined where they first appear.
You represent and warrant that:
Subject to your compliance with these Terms and timely payment of all fees, Venue Nest grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Subscription Term to access and use the Services, and to permit your Authorized Users to do so, solely for your internal business operations.
This license does not grant ownership of the software, intellectual property, or any underlying technology.
Template License. Subject to these Terms, you may copy, complete, modify, and use the Templates solely to prepare Subscriber Documents for use in your own business with your own Customers. You may not sell, resell, license, publish, distribute, or otherwise make any Template available to any third party as a standalone product or as part of any product or service that competes with Venue Nest.
Accounts and Security. You are responsible for maintaining the confidentiality of your login credentials, for all activities that occur under your account (whether or not authorized by you), and for the acts and omissions of your Authorized Users, which are deemed your acts and omissions. You may not share login credentials among multiple individuals except as permitted by your plan. You must notify Venue Nest promptly of any known or suspected unauthorized use of your account. Venue Nest is not liable for any loss arising from unauthorized use of your account.
Access to certain Services requires a paid subscription. You agree to pay all fees stated in your Order, in the currency and on the schedule stated in your Order.
Subscriptions automatically renew for successive renewal periods equal in length to the prior Subscription Term (for example, monthly or annually) unless cancelled before the renewal date. By subscribing, you authorize Venue Nest (or its payment processor) to charge your designated payment method for the initial fees and for each renewal at the then-current rate, without further authorization from you, until you cancel. You may cancel automatic renewal at any time through your account settings or by contacting Venue Nest at support@venuenest.com, and cancellation will take effect at the end of the then-current Subscription Term.
Failure to pay subscription fees when due may result in suspension or termination of access. Past-due amounts accrue a late charge of the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law, and you agree to pay all reasonable costs of collection, including attorneys' fees.
Fee Changes. Venue Nest may change its fees or plans upon at least thirty (30) days' notice to you. Fee changes take effect at the start of your next Subscription Term. If you do not agree to a fee change, you may cancel before the change takes effect.
No Refunds. Except as expressly stated in these Terms or required by law, all fees are non-refundable, and no refunds or credits will be issued for partial Subscription Terms, unused features, downgrades, or periods of non-use.
Taxes. Fees do not include taxes. You are responsible for all sales, use, value-added, and similar taxes associated with your subscription, other than taxes based on Venue Nest's net income.
Billing Disputes. You agree to contact Venue Nest and attempt in good faith to resolve any billing dispute before initiating a chargeback or payment reversal. Venue Nest may suspend access to the Services while any chargeback or payment dispute is pending.
Free Trials. If Venue Nest offers a free trial or promotional pricing, the offer is subject to the terms presented at sign-up. Unless you cancel before the trial ends, your subscription will convert to a paid subscription and your payment method will be charged.
Venue Nest provides educational materials, business strategies, templates, videos, checklists, guides, forms, and operational resources designed to assist venue owners.
All educational materials are provided for informational purposes only.
Nothing contained within the Services constitutes legal, financial, tax, accounting, insurance, employment, or professional advice.
Users should consult qualified professionals before making business or legal decisions.
Any examples, case studies, projections, pricing suggestions, or statements regarding revenue, bookings, or business results are illustrative only. Venue Nest does not guarantee that you will achieve any particular result from using the Services or following any educational content.
Venue Nest may provide sample contracts, agreements, clauses, policies, templates, forms, notices, waivers, checklists, e-mail and message scripts, or other documents, together with any related instructions, suggested language, pre-populated fields, clause libraries, and content generated or suggested by automated features of the Services (collectively, "Templates"), as a convenience to subscribers.
These Templates:
Venue Nest makes no representation or warranty that any Template is suitable, enforceable, legally sufficient, complete, accurate, or compliant with federal, state, provincial, local, or international law.
Laws governing venue and event agreements vary significantly by state and locality, including laws concerning deposits, cancellation and refund terms, liquidated damages, automatic renewals, liability waivers and releases, indemnification, alcohol service, occupancy and fire safety, noise, accessibility, sales and use taxes, and consumer protection. A provision that is enforceable in one jurisdiction or situation may be unenforceable, or may expose you to liability, in another.
Editing and Customization Are Your Responsibility. The Templates are designed to be edited. You are solely responsible for deciding whether to use any Template; selecting the Templates and provisions you use; completing, adding to, deleting from, and otherwise modifying the Templates; and the final form, content, legality, and enforceability of every Subscriber Document. Venue Nest has no control over, and assumes no responsibility for, any change that you or any other person makes to a Template.
Subscriber Documents Are Your Documents. Each Subscriber Document is your document, prepared by you and adopted by you as your own, regardless of how much Template language it retains. Venue Nest is not the author of, a party to, or a third-party beneficiary of any Subscriber Document; has no obligations under any Subscriber Document; and shall not be deemed to have drafted, reviewed, approved, or endorsed any Subscriber Document.
No Review or Monitoring. Venue Nest does not review, verify, or approve Subscriber Documents or your edits to Templates. The fact that Subscriber Documents may be stored on or transmitted through the Services, or that Venue Nest personnel may access them to provide technical support, does not mean that Venue Nest has reviewed them or assumed any responsibility for them.
No Duty to Update. Laws change. Venue Nest may, but is not obligated to, update, revise, replace, or withdraw any Template at any time, and has no duty to notify you of changes in law or of revisions to any Template. An update to a Template will not automatically change any Subscriber Document you have already created or used, and you are solely responsible for periodically reviewing and updating your Subscriber Documents.
Each user is solely responsible for reviewing every Template before use; modifying Templates to fit their business; obtaining advice from their own licensed attorney; and ensuring that every Subscriber Document complies with all applicable laws and regulations.
Venue Nest expressly recommends that every Template be reviewed by independent legal counsel prior to implementation.
Representations to Customers. You will not state or imply to any Customer or other third party that Venue Nest drafted, reviewed, approved, guarantees, or is responsible for any Subscriber Document or its terms, and you will not name Venue Nest as a party to or beneficiary of any Subscriber Document.
Fees Are for Software Access Only. Subscription fees are paid for access to the Services as a software platform. No portion of any fee is paid for legal services, for the preparation of any document for you, or for any assurance regarding the suitability or enforceability of any Template.
Your use of any Template is entirely at your own risk. To the maximum extent permitted by law, Venue Nest shall have no liability for any claim, loss, or damage arising out of or relating to any Template or Subscriber Document, including its content, omissions, interpretation, enforceability, or compliance with law, or any claim by a Customer or other third party arising from any Subscriber Document, and all such matters are subject to Sections 17, 18, and 19.
Nothing within the Services shall be interpreted as creating an attorney-client relationship between Venue Nest and any user.
Venue Nest is not a law firm.
Venue Nest does not provide legal representation.
Venue Nest employees and contractors are not acting as your attorneys, even if any of them is a licensed attorney.
No communication through the Services constitutes legal advice.
Any support Venue Nest provides regarding the Templates is limited to technical assistance with the functionality of the Services. Communications with Venue Nest are not protected by the attorney-client privilege or any similar confidentiality obligation.

You are solely responsible for the content of all messages sent from your account through the Services and for complying with all laws governing those messages, including the Telephone Consumer Protection Act, the CAN-SPAM Act, and applicable state laws, including by obtaining any consent required before sending text messages or marketing communications.
If you use an electronic signature feature, you are responsible for determining whether electronic signatures are appropriate and enforceable for your Subscriber Documents and for obtaining any required consent to conduct business electronically.
As between you and Venue Nest, you retain ownership of your User Content.
By uploading or submitting User Content, you grant Venue Nest and its service providers a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and otherwise use your User Content as necessary to provide, maintain, secure, support, and improve the Services and as otherwise permitted by these Terms.
You represent and warrant that you own or have all rights, licenses, and consents necessary to upload and use all User Content, and that your User Content and its use through the Services will not violate any law or infringe or misappropriate any third party's rights.
Venue Nest may collect and use data regarding the use and performance of the Services, and may create de-identified and aggregated data derived from User Content that does not identify you or any individual. Venue Nest may use such data for any lawful purpose, including improving the Services and developing new products.
Venue Nest has no obligation to monitor User Content but may remove or disable any User Content that it reasonably believes violates these Terms or the law. You are responsible for maintaining your own backup copies of your User Content and Subscriber Documents.
Venue Nest's collection and use of personal information is described in its Privacy Policy. With respect to Customer Data, you are responsible for providing all notices and obtaining all consents required by law, and you represent that you have the right to provide Customer Data to Venue Nest for processing in accordance with these Terms. Venue Nest will process Customer Data on your behalf in order to provide the Services.
You will not upload or store through the Services any Social Security numbers, driver's license or other government identification numbers, full payment card numbers (other than through an integrated payment processor), bank account numbers, health information, or other sensitive personal information, unless a feature of the Services is expressly designed for that purpose.
Venue Nest will implement commercially reasonable administrative, technical, and physical safeguards designed to protect User Content. However, no method of transmission or storage is completely secure, and Venue Nest does not guarantee that User Content will not be accessed, disclosed, altered, or lost.
You agree not to:
Venue Nest reserves the right to suspend or terminate accounts violating these Terms, with or without notice.
All software, branding, logos, graphics, educational materials, workflows, videos, documentation, and other platform content remain the exclusive property of Venue Nest or its licensors.
No ownership rights are transferred to users.
Venue Nest reserves all rights not expressly granted in these Terms. If you provide suggestions, ideas, or other feedback regarding the Services ("Feedback"), Venue Nest may use the Feedback for any purpose without restriction or compensation to you, and you hereby assign to Venue Nest all right, title, and interest in the Feedback.
Venue Nest may integrate with third-party providers including payment processors, email providers, calendar services, SMS providers, or other applications.
Venue Nest is not responsible for third-party services, policies, availability, security, or performance.
Use of third-party services is governed by their respective terms.
If you use a third-party payment processor through the Services to accept payments from Customers, you must agree to that processor's terms. Venue Nest is not a bank, payment processor, or money transmitter, does not hold your funds, and is not responsible for payment processing errors, holds, reserves, fees, chargebacks, or refunds.
Venue Nest may discontinue or modify any integration with a third-party service at any time without liability.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENUE NEST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Venue Nest does not warrant that the Services will be uninterrupted or free of defects.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM VENUE NEST OR THROUGH THE SERVICES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOU ACKNOWLEDGE THAT, IN ENTERING INTO THESE TERMS, YOU HAVE NOT RELIED ON ANY REPRESENTATION OR WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENUE NEST, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, AND LICENSORS (THE "VENUE NEST PARTIES") SHALL NOT BE LIABLE FOR ANY:
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF VENUE NEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE VENUE NEST PARTIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT PAID BY THE USER TO VENUE NEST DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND VENUE NEST, AND THE FEES FOR THE SERVICES REFLECT THIS ALLOCATION OF RISK. THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You agree to defend, indemnify, and hold harmless the Venue Nest Parties and their successors and assigns from and against any claims, demands, suits, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
Venue Nest may, at its option, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully and reimburse Venue Nest's reasonable defense costs. You may not settle any claim that imposes any obligation or admission on Venue Nest without Venue Nest's prior written consent.
Venue Nest may suspend or terminate your account or access to the Services, in whole or in part, immediately and with or without notice, if you violate these Terms, if you fail to pay any fees when due, or if Venue Nest reasonably believes that your use of the Services poses a legal, security, or reputational risk to Venue Nest or others. Venue Nest may also terminate these Terms for convenience upon thirty (30) days' notice, in which case Venue Nest will refund any prepaid fees for the unused portion of the Subscription Term.
Users may terminate their subscription in accordance with the cancellation policy.
Termination does not relieve users of obligations incurred prior to termination.
Upon expiration or termination, your license and access to the Services end. For thirty (30) days after termination (other than termination for your breach), you may request an export of your User Content in a format Venue Nest makes available. After that period, Venue Nest has no obligation to retain your User Content and may delete it. You may continue to use Subscriber Documents you created before termination, subject to Section 6, but you may not use the Templates to create new documents.
Venue Nest may modify, improve, discontinue, or replace any feature of the Services at any time without liability.
Venue Nest reserves the right to modify these Terms at any time. Venue Nest will provide notice of material changes by e-mail, through the Services, or by posting the revised Terms with a new "Last Updated" date. Changes will not apply retroactively and will not apply to any dispute of which Venue Nest had actual notice before the change took effect.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed under the laws of the State of Utah, without regard to conflict of law principles, except that Section 24 is governed by the Federal Arbitration Act.
Subject to Section 24, any legal action arising under these Terms that is not subject to arbitration shall be brought exclusively in the state courts located in Utah County, Utah, or the United States District Court for the District of Utah, and you consent to the personal jurisdiction of and venue in those courts.
Informal Resolution. Before initiating arbitration, the party asserting a claim must send the other party written notice describing the claim and the relief sought, and the parties will attempt in good faith to resolve the dispute for thirty (30) days after the notice is received.
Binding Arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the formation, scope, validity, enforceability, or arbitrability of this Section, shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, before a single arbitrator. The arbitration shall take place in Utah County, Utah, unless the parties agree otherwise, and may be conducted by video conference or on written submissions where permitted by the applicable rules. Judgment on the award may be entered in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
Exceptions. Either party may (a) bring an individual claim in small claims court if the claim qualifies, and (b) seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information or to stop unauthorized use of the Services. Venue Nest may also bring an action in court to collect unpaid fees.
Class Action Waiver. YOU AND VENUE NEST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one party and may not preside over any class or representative proceeding. If this class action waiver is found unenforceable as to any claim, that claim shall be severed and heard in court, not in arbitration.
Jury Trial Waiver. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT, YOU AND VENUE NEST EACH WAIVE THE RIGHT TO A TRIAL BY JURY.
To the extent permitted by law, any claim by you arising out of or relating to these Terms or the Services must be commenced within one (1) year after the claim arises, or the claim is permanently barred.
In any action or arbitration arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
Venue Nest is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, government orders, war, terrorism, labor disputes, internet or utility failures, cyberattacks, or failures of third-party hosting or service providers.
You may not assign or transfer these Terms or your account, by operation of law or otherwise, without Venue Nest's prior written consent. Venue Nest may assign these Terms without consent, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this Section is void.
You consent to receive communications from Venue Nest electronically, including by e-mail and through the Services, and agree that such communications satisfy any legal requirement that they be in writing. Venue Nest may give notice to the e-mail address associated with your account, and such notice is effective when sent. Notices to Venue Nest must be sent to support@venuenest.com.
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, fiduciary, or employment relationship between you and Venue Nest. There are no third-party beneficiaries of these Terms, except that the Venue Nest Parties are intended beneficiaries of Sections 18 and 19.
Venue Nest's failure to enforce any provision of these Terms is not a waiver of its right to do so later. Headings are for convenience only. The words "including" and "include" mean "including without limitation." These Terms shall not be construed against either party as the drafter.
If any provision of these Terms is held unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
Sections 1, 4 (as to fees owed), 6 through 10, 12 (as to licenses granted to Venue Nest), 13, 15 through 19, and 23 through 35 survive any expiration or termination of these Terms.
These Terms, together with the Privacy Policy and any Order, constitute the entire agreement between Venue Nest and the user regarding the Services and supersede all prior agreements, proposals, and representations relating to the Services. If there is a conflict between an Order and these Terms, these Terms control unless the Order expressly states that it overrides a specific Section of these Terms. Any different or additional terms in any purchase order or other document you provide are rejected and have no effect.
